Acceptance of Terms

By accessing or using our website (including any mobile site), services, applications (collectively, the “Services”), or by becoming an Owner in one of our shared-ownership properties, you agree to be bound by these Terms & Conditions (these “Terms”). If you do not agree to these Terms, you may not access or use our Services or participate in ownership. These Terms govern your use and your relationship with Legacy Estates. Your use of the Services or participation in ownership constitutes your acceptance of these Terms.

Definitions

For purposes of these Terms:

  • "Legacy Estates” means the entity Legacy Estates Group Holdings Inc.

  • “Owner” means a person or entity who holds an ownership interest (share) in a property managed or offered by Legacy Estates.

  • “Property” means a real-estate asset held and managed under Legacy Estates’ shared-ownership structure.

  • “Use Share” means the right granted to an Owner to use the Property in accordance with the schedule, rules and allocations set forth in the member agreement or other governing documents.

  • “Governing Documents” means the operating agreement, membership agreement, scheduling rules, use allocation rules, and any other document governing ownership, use, scheduling, transfer and resale of ownership interests.

  • “Fees” means all purchase price, maintenance charges, operating costs, dues, assessments, taxes, property insurance, utilities, property management charges, and other costs charged to Owners in connection with the Property and ownership interest.

Ownership Structure

Legacy Estates Group Holdings Inc (the Company) acquires or contracts to acquire a Property and establishes a separate limited-liability company (the “LLCs”) or other entity for each Property. Owners purchase memberships or shares in  Legacy Estates Holdings Inc, thereby obtaining an indirect ownership interest in the Property through that entity. To the extent applicable, you acknowledge and agree that your interest is that of a member or shareholder in the entity, and not a direct deeded individual full-title interest unless otherwise specified.
You agree to comply with the Governing Documents of Legacy Estates the scheduling rules, use policies, and all decisions made by the management or operations team in accordance with such Governing Documents.

Use & Scheduling

The Use Share entitles you to the right to occupy and use the Property in accordance with the scheduling allocations set forth in the Governing Documents, including any allocation of peak/shoulder/off-peak periods, blackout or fair-use rules, advance booking windows, and carry-over rules.
Use rights may be subject to conditions, including meeting your fee obligations, compliance with house rules, scheduling deadlines and minimum stay requirements, all as defined in the Governing Documents.
Legacy Estates may modify or discontinue scheduling allocations, stay durations, or rules in the Governing Documents at its discretion, provided that such modifications comply with any applicable membership agreement and are communicated to Owners.

Fees, Operating Costs & Your Obligations

As an Owner you agree to pay all applicable Fees on the due dates specified in the membership agreement or operating agreement. This includes, but is not limited to: acquisition price or share purchase, monthly or annual maintenance contributions, property tax pro-rata, insurance, utilities, repairs, replacements and property management costs.
Failure to pay Fees when due may result in suspension of Use rights, termination of membership, forfeiture of scheduling rights, or other remedies as set forth in the Governing Documents.
You acknowledge that operating costs may increase, that assessments may be required for capital expenditures or major repairs, and that Legacy Estates is not obligated to subsidise such costs from its own funds except if required by law or the operating agreement.

Transferability / Resale of Ownership Interest

Subject to the terms of the Governing Documents, you may sell or transfer your ownership interest (membership or share) in Legacy Estates Holdings Inc. Such sale or transfer may be subject to rights of first refusal, approval rights of other Owners or the Company, compliance with notice procedures, payment of fees, and fulfillment of any minimum holding period.
Legacy Estates Holdings Inc may act as an agent or provide assistance in the resale of ownership interests but makes no guarantee of resale price, timing, liquidity or market demand.
You acknowledge that the ownership interest is illiquid, and market conditions, property condition, local regulations, financing availability and other factors may affect the ability or the value at which you may resell.

 

Use Restrictions & Code of Conduct

Use of the Property is for your personal, non-commercial use (unless expressly permitted under the Governing Documents). You may not sub-rent, lease, timeshare, offer short-term rental through third-party platforms, or otherwise commercially exploit the Property unless explicitly allowed under the Governing Documents and approved by Legacy Estates.
All Owners and their guests must comply with the house rules, scheduling rules, occupancy limits, noise and nuisance restrictions, local ordinances, zoning, homeowners-association rules and any additional restrictions imposed by the property or community. Violation may lead to suspension of Use rights, fines, termination of membership, or other remedies.

Limitation of Liability & Indemnification

To the fullest extent permitted by applicable law, Legacy Estates, its affiliates, managers, the LLCs, agents, officers, directors and employees are not liable for any indirect, incidental, special, punitive or consequential damages (including lost profits, lost use or lost opportunity) arising out of or in connection with these Terms, your use of the Property, the Services, scheduling, transfer of interests, property condition, or any other matter, even if advised of the possibility of such damages.
You agree to indemnify, defend and hold harmless Legacy Estates, its affiliates, managers, the LLCs, agents, officers, directors and employees from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or resulting from (i) your breach of these Terms or the Governing Documents; (ii) your use of the Property; (iii) any act or omission of you or your guests; (iv) your failure to pay Fees; or (v) your transfer or attempted transfer of membership in violation of the Governing Documents.

Property Condition, Maintenance & No Warranty

You acknowledge that each Property is owned by an LLC and managed in accordance with the Governing Documents. Legacy Estates uses commercially reasonable efforts to maintain the Property, but does not guarantee the suitability, condition, habitability or value of the Property. All ownership interests are taken “as is” and you accept the risks associated with shared ownership, maintenance obligations, scheduling allocation, usage coordination, community impact, regulatory risk, market risk and property resale risk.
Legacy Estates expressly disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose or value.

Local Laws, Zoning & Use Risk

You acknowledge that the Property may be in jurisdictions with zoning, homeowners­-association, short-term rental, vacation home laws or restrictions that could affect your Use rights, scheduling, rental ability, transfer or management of the Property. The Company is not responsible if such local laws or regulatory changes limit or eliminate your Use rights or affect the value or operation of the Property.
Owners are responsible for complying with all applicable laws, regulations, rules, permits, taxes and assessments borne by the Property, the Company or the LLCs.

Intellectual Property & Website Use

All content on our website, applications, portals, and services (including text, graphics, logos, trademarks, designs, images, software, and other content) is the intellectual property of Legacy Estates or its licensors. You may view, download or print content for your personal non‐commercial use only. You may not copy, reproduce, distribute, publish, modify, create derivative works from, or use any content for commercial purposes without our prior written consent.
You agree not to use the Services or website in any manner that infringes, misappropriates or violates any intellectual property rights, or that interferes with the operation of the Services.

Privacy Policy

Your submission of personal data is governed by our Privacy Policy. By using the Services or becoming an Owner, you consent to the collection, use, disclosure and retention of your personal information in accordance with the Privacy Policy.

Representations & Warranties; Eligibility

You represent and warrant that:

  • You are at least the age of majority in your jurisdiction and have legal capacity to enter into these Terms.

  • The information you provide to us (including ownership applications, scheduling requests, transfer requests) is true, accurate, current and complete.

  • If you purchase an ownership interest, you will abide by the Governing Documents, pay all Fees, comply with scheduling, house rules and any other obligations.

  • You are acquiring the ownership interest for personal use only (unless otherwise agreed in writing), and not for resale or sub-leasing unless explicitly permitted in the Governing Documents.

Termination & Suspension

Legacy Estates may suspend or terminate your Use rights, membership or ownership interest (as permitted under the Governing Documents) if you breach these Terms, become insolvent, fail to pay Fees, engage in prohibited conduct, or fail to comply with scheduling/house rules.
Upon termination, you may lose Use rights, scheduling privileges and may remain liable for your share of outstanding Fees, assessments and other obligations. Termination of your Use rights or membership does not automatically relieve you of your obligation to pay outstanding Fees, assessments or other liabilities incurred prior to termination.

Modifications to Terms

Legacy Estates Holdings Inc reserves the right to amend or modify these Terms at any time. We will post the amended Terms on our website with a new “Last updated” date. Your continued use of the Services or retention of an ownership interest after the posting of changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

Governing Law & Dispute Resolution

These Terms, your membership agreement, the Governing Documents and your rights and obligations as an Owner (or prospective Owner) shall be governed by and construed in accordance with the laws of Wyoming, without regard to its conflict of laws rules.
Any dispute, claim or controversy arising out of or in connection with these Terms, your ownership interest, the use of the Property or the Services shall be resolved as follows:

  • First, by good-faith negotiation between the parties.

  • If unresolved within 90 days, then by binding arbitration under the rules of American Arbitration Association (AAA) before a single arbitrator in Jackson, Wyoming.

  • Notwithstanding the foregoing, Legacy Estates may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or proprietary rights.

  • You agree that any claim you may have will be brought individually and not as a class or representative action.

Severability

If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, unlawful or unenforceable in any respect, that provision will be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with the membership agreement, the Governing Documents for the LLC and any other documents referenced herein, represent the entire agreement between you and Legacy Estates relating to the Services and your ownership interest, and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Legacy Estates Holdings Inc.
